Legal Counsel

Position: Legal Counsel (1 position) Reports to: General Counsel and Company Secretary Contract Type: Specified Period of Time contract Position Purpose: Perseus Mining, the owner of the Nyanzaga Gold Project, is recruiting a Legal Counsel to support its Tanzanian operations. The Legal Counsel will be responsible for managing all legal and compliance aspects of Perseus in Tanzania, including company secretarial responsibilities for Perseus Tanzania entities. Tanzanian jobs Roles and Responsibilities: Draft, negotiate, monitor, and execute legal and commercial documentation. Monitor the submission of government applications, forms, and reports. Liaise with the Government on legal, compliance, and other matters as required. Advise managers on legal and compliance matters. Administer and manage all corporate governance and compliance matters, including organizing and minuting board meetings for Perseus Tanzania entities. Assist with the timely development of budgets and forecasts related to the legal department. Achieve specific Key Performance Indicators (KPIs) agreed upon for each financial year. Liaise with external lawyers for all Perseus Tanzania companies. Ensure all contracts are properly authorized before execution. Identify and report weaknesses in internal controls or procedural breaches impacting Perseus Tanzania activities. Liaise with the government and Perseus managers to ensure timely approvals and renewals of permits. Advise on new and proposed legislative changes within the Group and provide feedback to the government where necessary. Monitor and ensure compliance with relevant laws and regulations applicable to Perseus’s business, including government reporting requirements. Contribute to Business Improvement Initiatives (BII) aimed at reducing costs. Advise HR staff and managers on local employment matters and industrial relations compliance. Provide employee relations support to Operations to ensure compliance with Tanzanian labour laws. Liaise with government shareholders and external directors of Perseus Tanzania companies to achieve efficient approval of resolutions. Qualifications, Experience, and Skills: Tertiary qualification in law (desirable to be admitted as an advocate). 10+ years of experience in corporate and commercial law, either in a law firm or in-house. Experience in mining law is desirable. Experience in dealing with Tanzanian regulators. Sound knowledge of the Tanzanian legal system. Strong written and spoken English language skills.
